(VITS), we are committed to maintaining the highest standards of ethics, integrity, and transparency in everything we do — in our bidding and procurement activities and in the general functioning of the company. In alignment with international compliance standards and World Bank guidelines, we hold ourselves to a simple measure: how we win matters more than what we win.

These standards are mandatory, not optional. They apply to every employee, to our management, and extend to the agents, subcontractors, and business partners who act on our behalf. Violations result in serious disciplinary action.

What We Prohibit

We maintain an unequivocal and visible prohibition against all forms of misconduct, including:

Fraud & Corruption — any intentional deception or abuse of position for private gain, including bribery, kickbacks, undue gifts, improper influence on officials, or falsification of bids, records, or certifications.

Collusion — any anti-competitive agreement or understanding, such as bid-rigging, price-fixing, market allocation, or sharing of sensitive bid information with competitors.

Coercion — threats, intimidation, harassment, or abuse of authority to influence decisions, secure advantages, or obstruct fair competition.

Obstructive Practices — interfering with investigations, destroying or hiding evidence, providing false information, or misleading authorities.

Our Guiding Principles

  • Fair competition and independent bidding — we compete on merit alone. No collusion, no dummy or supporting bids, and no sharing of prices or bidding strategies.
  • Zero tolerance for corruption — no bribes, kickbacks, facilitation payments, improper gifts or favors, or hidden agents.
  • Controlled gifts and contributions — only token, festive gifts of insignificant value, given uniformly and with prior approval. Political and charitable contributions strictly follow applicable law and are fully disclosed.
  • Transparency and record-keeping — accurate and complete books of accounts, no off-book transactions, full traceability, and minimized, controlled cash transactions.
  • Accountability at every level — everyone is responsible, with no excuse of orders. Our leadership sets the example, and errors are reported and corrected.

Our Integrity Compliance Program

Our commitment is backed by a structured Integrity Compliance Program:

  • Recurring integrity training, conducted three times a year for all managerial, customer-facing, procurement, accounts, HR, and administrative personnel, with attendance recorded and understanding assessed.
  • A designated compliance function, supported by a Single Point of Contact (SPOC) from senior management with the autonomy, authority, and resources to implement the program effectively.
  • Continuous due diligence on the conduct of all employees, with heightened scrutiny for roles that influence business decisions such as sales, procurement, and finance.
  • Integrity obligations in contracts with employees and business partners, including the right to terminate any relationship for misconduct.
  • Fair and confidential investigation of every report, with proportionate disciplinary action — up to and including termination — where misconduct is established.
  • Periodic senior-management review of the program's effectiveness and content.

How to Report a Concern

We provide secure channels for employees, partners, and external stakeholders to report any suspected integrity violations, fraudulent activities, or unethical behavior.

You are not required to reveal your identity. Messages can be submitted entirely anonymously — for example, by using an external, anonymous email address.

2. Maximum Confidentiality
We take your privacy seriously. All submitted messages, inquiries, and identities will be kept strictly confidential to the fullest extent possible in accordance with applicable laws.

3. Strict Non-Retaliation Policy
Your protection is guaranteed. VITS strictly prohibits retaliation against anyone who submits a question, concern, or report in good faith, or who participates in an audit or investigation. Retaliation of any kind will face severe disciplinary action.
